These Terms of Service explain the rules for using ThemeSphere and purchasing or downloading our WordPress themes and related products. They also include our Privacy Policy and Refund Policy.
ThemeSphere is created and operated by BunyadTech LLC. Whenever these terms mention “ThemeSphere,” “we,” “us,” or “our,” that means ThemeSphere together with BunyadTech LLC.
By creating an account, accepting these terms at checkout, purchasing a product, or downloading a product, you agree to these terms. If you do not agree with them, please do not use the site or purchase our products.
If you have questions, you may contact us to get further clarification.
Who May Use the Site
You must be at least 18 years old, or the age of majority where you live, to create an account or purchase a product from us.
You may purchase a product for a business or client only if you have permission to agree to these terms on their behalf.
Our site is not intended for children under 13. We do not knowingly collect personal information from children under 13. If you believe a child has provided us with personal information, please contact us.
Your Account
An account is required to purchase and download our products directly from us.
Please provide accurate information and keep your account details up to date. You are responsible for keeping your password confidential and for activity carried out through your account. Let us know promptly if you believe your account has been accessed without permission.
We may suspend or close an account when reasonably necessary to address fraud, misuse, security concerns, or a significant violation of these terms. Where appropriate, we will try to explain the reason and give you an opportunity to resolve the issue.
Purchases and Payment
When you purchase a product, you receive the license described in the License section below. You do not receive ownership of the product or of the intellectual property included in it.
Prices are displayed in US dollars unless stated otherwise. Applicable sales tax may be added at checkout.
Payments are processed through our payment provider. We do not store your full payment-card number. By submitting an order, you authorize us and our payment provider to charge your selected payment method for the amount shown at checkout.
If a payment fails, is reversed, or is reasonably believed to be fraudulent, we may temporarily restrict downloads, support, or license access while the issue is reviewed. We will work with you to resolve genuine payment problems where possible.
A digital product is delivered when it becomes available for download through your account or when we otherwise provide access to it.
You are responsible for any taxes that apply to your business, your client relationship, or a website you build using our products, other than taxes we are required to collect from you at checkout.
If you purchased through ThemeForest, your payment, invoicing, and checkout terms are handled by Envato, not by us directly. See ThemeForest's terms for details on that process.
License
Each purchase gives you an ongoing, non-exclusive, worldwide license to use the purchased product on one finished WordPress website. We refer to that website as the “End Product.”
You may keep a local or staging copy while developing or maintaining the same End Product. A separate live website requires a separate purchase.
The WordPress Split License
Our WordPress themes and plugins may contain different types of material, and those materials are licensed separately.
The PHP code and integrated HTML are licensed under the GNU General Public License (GPL). A copy of the license is included with the product.
Other parts of the product, including CSS, images, artwork, design elements, brand name, and documentation are licensed under the commercial terms in this section unless a different third-party license is identified for a particular item.
The GPL applies to the parts covered by it. The commercial restrictions in these terms apply to the non-GPL parts. The fact that a product contains GPL-licensed code does not make its CSS, images, artwork, or design elements GPL-licensed.
What Your License Allows
You may:
- Install and use the product on one live WordPress website.
- Use a local or staging copy while working on that same website.
- Modify the product for that website, including its colors, layout, templates, styles, and code.
- Combine the product with your own work and with other plugins or services.
- Build the website for one client and transfer the finished website and its license to that client.
- Charge your client for your design, development, configuration, and other professional services.
- Use the product on a website for a business, blog, publication, store, membership organization, or other lawful purpose.
What Your License Does Not Allow
Unless the purchased license expressly allows it, you may not:
- Use one purchase on more than one live/production website.
- Share, sell, sublicense, or redistribute parts of, or the product as a standalone product.
- Include the product in a theme marketplace, template library, website builder, or similar service.
- Include the product in a product or membership package that gives other people access to the product files.
- Provide the product files to a client or other person separately from the finished website for their reuse.
- Extract and reuse elements, such as images, artwork, design elements, or CSS, as standalone assets outside the licensed website.
- Use our product name, branding, or artwork as part of a logo, trademark, or competing product.
- Use the product in a way that violates the law or another person’s rights.
If you are a freelancer or agency, each client website is a separate End Product and requires its own purchase.
If you materially breach the commercial license and do not correct the breach after we give you reasonable notice, we may end the commercial portion of the license. If that happens, you must stop using the product on any unlicensed website.
Products Purchased Through ThemeForest
If you purchased a product from ThemeForest, your license is the ThemeForest Regular License issued by Envato for that item, not the license described above. That license governs your rights and restrictions for that purchase. You can read it at ThemeForest's Regular License terms.
The WordPress split described above still applies in the same way to ThemeForest purchases: the PHP code and integrated HTML are GPL, and the remaining material follows the ThemeForest license.
Third-Party Materials and Services
A product may include or refer to third-party plugins, fonts, images, icons, libraries, or other materials. Those materials remain subject to their own licenses and terms. Where a third-party license applies to a particular item, that license controls the use of that item.
Demo images, sample content, and other demonstration materials are provided to show how a product works. Unless the product page or the applicable license says otherwise, they are not licensed for use on a live website.
WordPress, hosting providers, page builders, plugins, payment providers, and other third-party services are separate products. Their providers’ terms and policies apply to your use of them. ThemeSphere is not affiliated with or endorsed by Automattic, WordPress.org, or any third-party provider mentioned on our site.
We are not responsible for the availability, security, or performance of third-party services.
Product Updates
We may provide updates for products you have purchased. You can download available updates through your account for as long as we make them available.
Updates may include improvements, compatibility changes, bug fixes, or security fixes. We work to keep products compatible with supported versions of WordPress, but we cannot guarantee compatibility with every version of WordPress, hosting environment, plugin, browser, or third-party service.
Updates and support are separate. The end of a support period does not end your license or remove your right to use the product you purchased.
If you purchased through ThemeForest, updates are delivered through your Envato/ThemeForest downloads page rather than through an account on our site.
Support
Each purchase includes six months of support beginning on the purchase date. If offered at checkout, you may purchase additional support time. Support renewals are separate purchases and do not renew automatically unless the checkout page clearly says otherwise.
Support covers the product as described on its product page and documentation.
What Support Includes
We can help with:
- Questions about the product’s documented features and settings.
- Reproducing and addressing bugs in the product.
- Problems caused by a plugin or integration that we bundled with the product.
- Clarifying instructions in our documentation.
What Support Does Not Include
Support does not include:
- Installing WordPress or configuring your hosting account.
- Hosting, server, email, DNS, or domain-related problems.
- Custom development, custom design, or features not included in the product.
- Troubleshooting third-party plugins or services that we did not bundle with the product.
- Complete WooCommerce, payment gateway, membership, or store configuration unless the product page specifically includes it.
- General WordPress training.
- Custom code or child-theme work beyond the product’s documented features.
Support is provided through our designated support channel. We will not access your website unless we ask for access and you choose to provide it for troubleshooting. We aim to respond during business days, but response times depend on ticket volume, complexity, and the information available to us.
An active support period may be required when you submit a support request. If your support period has ended, you may renew it if renewals are available.
Support for ThemeForest Purchases
If you purchased through ThemeForest, your support period and eligibility follow Envato's item support rules rather than the account-based rules above. See Envato's item support policy for how that works, including how support periods are tracked and renewed on ThemeForest.
Subscription Products
Some products are available with an annual subscription. The subscription period and price are shown on the product page and at checkout.
An annual subscription gives you access to the benefits listed for that product during the active subscription period. Depending on the product, those benefits may include:
- Product updates
- New product releases or improvements included with the subscription
- Demo content imports
- License-key or API-dependent features
- Product support
- Other subscription benefits described on the product page
The exact benefits may vary between products. The product page and checkout description form part of your purchase information.
Automatic Renewal
When you choose a subscription, it renews automatically at the end of each subscription period unless you cancel it before the renewal date.
At renewal, we will charge your saved payment method the subscription price in effect at that time. If our pricing has changed, we will make reasonable efforts to notify you in advance where required by law.
You can cancel automatic renewal at any time from your account or by contacting us. To avoid being charged for the next period, cancel before the current subscription’s renewal date. Cancelling stops future renewals. It does not refund or shorten the subscription period you have already paid for, and you will keep your subscription benefits until that period ends.
If a renewal payment fails, is reversed, or is disputed, we may treat the subscription as expired until the payment issue is resolved.
What Happens When a Subscription Ends
Your website will not be disabled or taken down because a subscription was not renewed. You may continue using the version of the product that was available to you during your paid subscription period, subject to the applicable license terms.
Once a subscription ends, you will no longer receive the benefits that depend on an active subscription, including:
- Product updates
- New subscription releases
- Demo content imports
- API access or license-key-dependent features
- Product support
- Any other benefit identified as subscription-only on the product page
Some individual features may stop working if they rely on a live API connection, license key, or active subscription. Features that do not depend on an active subscription should continue to work as before, although we cannot guarantee compatibility with future versions of WordPress, hosting environments, plugins, browsers, or other services.
If you subscribe again later, subscription benefits resume from the date the new subscription becomes active. Resubscribing does not automatically restore updates, demo content, or support for the period during which the subscription was inactive, unless the product page or renewal offer states otherwise.
Ending or not renewing a subscription does not cancel or revoke the license for the product files you already have, except where the license itself is suspended or terminated because of a breach of these terms or an unresolved payment issue.
Refunds
Refunds for products purchased directly from us are handled under our Refund Policy.
If you purchased through ThemeForest, refunds are handled by Envato under ThemeForest's refund policy, not under our own policy.
Changes to Products and Services
We may improve, modify, update, rename, replace, or discontinue a product or part of the site. We may also change prices and product offerings for future purchases.
If we discontinue a product, your existing license continues to apply to the files you already have, subject to these terms. We do not promise that downloads, updates, or support for a discontinued product will remain available indefinitely.
Product demonstrations are examples only. The result you achieve may depend on your content, hosting, WordPress configuration, plugins, and other factors outside our control.
Acceptable Use
Please use the site and our products responsibly and lawfully. You may not:
- Interfere with the security, availability, or normal operation of the site.
- Attempt to gain unauthorized access to accounts, systems, or data.
- Upload malicious code or use the site to distribute malware or spam.
- Impersonate another person or misrepresent your relationship with us.
- Use the site or a product to violate another person’s rights or applicable law.
We may take reasonable steps to protect the site, our customers, and our business when these rules are not followed.
Our Content and Intellectual Property
The site, product names, branding, documentation, demonstrations, and any part of the products belong to ThemeSphere or to the people who have licensed them to us.
Your purchase gives you the license described in these terms. It does not transfer ownership of our intellectual property to you.
You may not copy our documentation, demonstrations, branding, or marketing materials and present them as your own or use them to promote a competing product.
If you send us feedback, suggestions, or ideas, you allow us to use them without restriction or payment. We are not required to use any feedback you provide.
Electronic Communications
You agree that we may communicate with you electronically. This includes order confirmations, receipts, download information, support messages, account notices, and updates to these terms.
We may send communications to the email address associated with your account or post notices on the site. Please keep your email address current. Electronic communications satisfy any legal requirement that a communication be in writing, unless applicable law requires something different.
Disclaimers
To the fullest extent permitted by law, the site and our products are provided “as is” and “as available.”
We do not promise that the site or a product will always be available, error-free, secure, or compatible with every WordPress installation, host, plugin, browser, or third-party service. We also do not promise that a product will meet every particular business or personal requirement.
We will make reasonable efforts to correct product defects that we can reproduce, but support or updates do not create a guarantee of a particular result.
Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
Limitation of Liability
To the fullest extent permitted by law, ThemeSphere and its owners, employees, contractors, partners, and affiliates will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or the cost of substitute products or services arising from or related to the site or a product.
To the fullest extent permitted by law, our total liability for claims related to a particular product will not exceed the amount you paid us for that product during the twelve months before the event giving rise to the claim.
These limitations do not apply where applicable law does not allow them to apply, including liability that cannot legally be limited or excluded.
Indemnification
If a claim is made against ThemeSphere because of your use of the site, a product, your account, or a website you build with a product, you agree to cover our reasonable losses, costs, and expenses resulting from that claim, including reasonable attorneys’ fees.
This applies to claims arising from:
- Your material breach of these terms.
- Your use of the site or a product in violation of the law.
- Content, data, products, or services you add to a website using our product.
- Your infringement or violation of another person’s intellectual-property, privacy, or other rights.
- Your misuse of the site, your account, a product, or our support services.
We will notify you within a reasonable time after becoming aware of a claim covered by this section. We will give you reasonable cooperation, at your expense, and will not agree to a settlement that imposes an obligation or admission on you without your consent, which you will not unreasonably withhold.
This section does not apply to the extent a claim results solely from our breach of these terms, intentional misconduct, or a defect in a product as supplied by us.
Account and License Suspension
We may suspend or terminate access to your account, downloads, support, or a commercial license when reasonably necessary to protect the site, our customers, our business, or others.
This may happen if:
- You materially breach these terms and do not correct the breach after we notify you, where correction is reasonably possible.
- A payment is fraudulent, reversed, or remains unpaid.
- Your activity creates a security risk or materially interferes with the site or other customers’ use of it.
- We are required to act for legal, regulatory, or security reasons.
- You repeatedly misuse our support service or clearly exceed the license you purchased.
Where practical, we will provide notice and an opportunity to resolve the issue before suspending access. We may act without advance notice when necessary to address fraud, security, legal, or other urgent concerns.
Termination does not affect rights or obligations that arose before termination. It does not limit any rights or remedies available to either party under applicable law.
If we terminate a commercial license because of a serious or unresolved breach, you must stop using the product on unlicensed websites.
Assignment
You may transfer the license for a finished website to the one client for whom you built that website. You may not transfer, share, or resell an unused license, account, or product files without our written permission.
We may assign or transfer these terms as part of a merger, reorganization, financing, sale of the business, or transfer of the relevant assets.
Changes to These Terms
We may update these terms from time to time. The updated version becomes effective on the date shown at the beginning of the page.
If we make a material change, we will try to notify you by email or through a notice on the site. Your continued use of the site or a new purchase after the effective date means that you accept the updated terms.
The terms that applied when you purchased a product continue to govern that purchase, except where a change is required by law or applies to an ongoing relationship.
General Terms
If a court finds one part of these terms unenforceable, the remaining parts will continue to apply. The unenforceable part will be limited or replaced only as much as necessary to make it enforceable.
If we do not enforce a provision on one occasion, that does not prevent us from enforcing it later.
These terms, together with the Privacy Policy, Refund Policy, product license, and any terms clearly presented at checkout, form the entire agreement between you and ThemeSphere concerning the site and the products. They replace earlier discussions or understandings about the same subject.
Neither party is responsible for a delay or failure caused by circumstances beyond its reasonable control, including natural disasters, war, labor disputes, internet or hosting failures, government action, or other events that could not reasonably have been prevented.
Governing Law and Disputes
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules.
Any dispute that is not resolved informally will be handled by the state or federal courts located in Wyoming, and you agree to their jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.
Nothing in this section prevents either party from seeking urgent injunctive or equitable relief when necessary to protect intellectual property, confidential information, account security, or other rights.
